Terms & Conditions

Governs access to and use of the Lattice Customer Portal, Pawa IT's Google Workspace signature, directory, licensing, billing, and support management platform.

The Lattice Customer Portal (“the Services”) is a Google Workspace signature, directory, licensing, billing, and support management platform offered by Pawa IT Solutions Limited (“Pawa IT,” “we,” or “us”), accessible at customers.pawait.io.

By logging in to or using the Services, the organisation on whose behalf you act (the “Customer”) agrees to these Terms.

1. Agreement to Terms

1.1 Organisational Agreement

The person authenticating as, or designated as, the Customer's administrator represents that they have the authority to bind the Customer organisation to these Terms.

1.2 Scope of Agreement

Use of the Services constitutes acceptance of these Terms and any applicable Order Form or Service Agreement between the Customer and Pawa IT. Access to Google Workspace data through the Services is additionally governed by the Google API Services User Data Policy, the Google Workspace Reseller Program terms (where applicable, see Section 3.2), and Google's own terms, which take precedence over these Terms solely with respect to Google user data.

1.3 Updates to Terms

Material changes require no less than 30 days' notice via the email address associated with the Customer's administrator account, or via a notice within the Services. Continued use after that date constitutes acceptance.

1.4 Governing Law

These Terms are governed by the laws of the Republic of Kenya. Disputes are addressed in Section 10.

2. Accounts and Roles

2.1 Sign-In

Access to the Customer Portal is via Google sign-in. A user's email domain must match the Customer's registered Google Workspace domain for the Services to grant access; there is no separate account registration.

2.2 Roles and Permissions

The Services use a role-based permission model. The Customer's administrator assigns roles that determine what each user can see and do — ranging from full administrative control to a standard employee who can only view their own signature and submit profile update requests. The Customer is responsible for the roles it assigns to its own users.

2.3 Customer Users

Employees whose Google Workspace directory data and Gmail signature are managed through the Services (“Customer Users”) do not need to take any action for signatures to be deployed or updated — this happens automatically once the Customer's administrator triggers a deployment and the user holds a signature licence (where applicable, see Section 4).

2.4 Accuracy of Information and Account Responsibility

The Customer must ensure that information provided during onboarding — including domain name, primary contact, and billing details — is accurate, current, and complete, and is responsible for all activity under its administrator accounts, including template, targeting, directory, licence, and support-ticket decisions made by any of its administrators.

2.5 Eligibility

The Customer represents that it is a validly constituted legal entity authorised to administer the Google Workspace domain it registers with the Services.

2.6 Pawa IT Staff Access

Pawa IT staff may access Customer data through an internal Management Portal solely to onboard, support, and troubleshoot the Customer's use of the Services, and only where the Customer has an active Domain-Wide Delegation authorisation (Section 3.1) or, for billing data, an active reseller relationship (Section 3.2). Staff access is restricted to Pawa IT's own verified accounts and is separately permissioned from Customer-facing access.

3. Google Workspace Access

The Services access Google Workspace data through two distinct mechanisms, which are not interchangeable.

3.1 Domain-Wide Delegation — Signatures and Directory

The Services use Google Workspace Domain-Wide Delegation (“DWD”) to read directory data and deploy signatures on behalf of Customer Users. Granting DWD is a deliberate, manual act performed by the Customer's Super Administrator in the Google Admin Console — Pawa IT cannot grant itself this access. The Super Administrator may revoke DWD at any time, after which signature and directory API calls immediately fail. The scopes requested for this purpose are listed in Section 4.1 of the Privacy Policy and are limited to Gmail signature settings and the Directory API.

3.2 Reseller Access — Subscriptions and Billing

Where the Customer purchases its Google Workspace subscription through Pawa IT as its reseller, Pawa IT holds certain administrative capabilities over that subscription under the Google Workspace Reseller Program, independent of the DWD authorisation in Section 3.1. This includes visibility into the Customer's subscription and seat counts, which Pawa IT uses to populate the billing and invoice information described in Section 4. This mechanism does not apply to Customers who did not purchase their subscription through Pawa IT.

Pawa IT does not currently generate or provide Workspace usage/activity reports (e.g. email, Drive, or Meet activity) to Customers under this or any other mechanism. If this changes, it will be introduced as a described feature with prior notice, not silently.

3.3 Compliance

Use of data obtained through either mechanism is subject to the Google API Services User Data Policy and, where applicable, the Google Workspace Reseller Program terms, as described in the Privacy Policy.

4. Licences and Billing

4.1 Billing Plans

The Customer's subscription operates under one of two models, as agreed with Pawa IT: a plan where signatures deploy to every active user in the domain, or a plan where signatures deploy only to users the Customer has explicitly assigned a signature licence.

4.2 Licence Management

Where the Customer's plan requires licence assignment, the Customer's administrator is responsible for assigning and unassigning licences within the quota agreed with Pawa IT, and for submitting requests to change that quota. Removing a licence from a user restores that user's original Gmail signature, captured before their first deployment, where available.

4.3 Invoicing

Billing and invoice records made available through the Services (subscription plan, seat counts, and pricing) are derived from the Customer's Google Workspace subscription via the reseller relationship described in Section 3.2, where applicable, and are provided for the Customer's reference. They do not replace, and may be superseded by, any separately issued formal invoice or Order Form.

5. Support Tickets

5.1 Ticketing Platform

Support requests raised through the Services are created and managed in Freshdesk, a third-party helpdesk platform. By submitting a support ticket, the Customer and its users consent to their ticket content, including any attachments, being processed by Freshdesk on Pawa IT's behalf, as described in the Privacy Policy.

5.2 No Guaranteed Response Time

Unless a separate Service Level Agreement is in place, Pawa IT does not warrant a specific response or resolution time for support tickets.

5.3 Content Standards

The Customer must ensure that support tickets, replies, and attachments submitted through the Services do not contain unlawful content, and should avoid including sensitive personal data (such as passwords or payment details) unless specifically requested by Pawa IT support staff.

6. Acceptable Use

The Customer must not, and must ensure its users do not:

6.1 Legal and Regulatory Violations

Use the Services in violation of any applicable law or regulation, including Kenya's Data Protection Act 2019 and the Computer Misuse and Cybercrimes Act 2018.

6.2 Scope of Authorisation

Use the Services on a Google Workspace domain the Customer does not own or is not authorised to administer.

6.3 Unauthorised Access and Platform Integrity

Attempt to gain unauthorised access to the Services, other customers' accounts, or Pawa IT's infrastructure; or interfere with the performance or availability of the Services, including through excessive API calls or circumventing rate limits.

6.4 Content Standards

Use the Services to deploy signature, directory, profile, or support-ticket content that is unlawful, infringing, or that impersonates a third party.

6.5 Restrictions

Copy, modify, reverse engineer, decompile, or attempt to derive the source code of the Services, or use Pawa IT's or Lattice's trademarks without prior written consent.

7. Intellectual Property Rights

7.1 Pawa IT Proprietary Rights

The Services — including the template engine, deployment pipeline, directory sync, licence and billing logic, and all original software and documentation — are and remain the exclusive intellectual property of Pawa IT Solutions Limited and its licensors.

7.2 Third-Party Components

The Services are built on and integrate with Google Workspace APIs (Gmail API, Admin SDK Directory API, Cloud Channel API) and Freshdesk. These remain the exclusive intellectual property of Google LLC and Freshworks Inc. respectively, and are subject to their own terms.

7.3 Customer Data and Content

The Customer retains full ownership of its signature templates, brand assets, directory data, and any content it submits through the Services, including support tickets. Pawa IT claims no ownership over Customer Data and accesses it only as necessary to deliver the Services.

7.4 Restrictions on Use of Pawa IT IP

Signature templates and targeting configurations remain associated with the Customer's account, while the underlying platform remains Pawa IT's property.

8. Suspension and Termination

8.1 Termination by Customer

The Customer may stop using the Services at any time by revoking Domain-Wide Delegation as described in Section 3.1, or by written notice to Pawa IT terminating its subscription. Termination does not entitle the Customer to a refund of prepaid fees unless expressly agreed in writing.

8.2 Suspension or Termination by Pawa IT

Pawa IT may suspend access immediately for: material breach not remedied within 14 days of notice; a security risk; a legal requirement; or outstanding fees beyond agreed payment terms.

8.3 Effect of Termination

Upon termination:

  1. All access to the Services for the Customer's accounts ends
  2. Original signatures captured for Customer Users will be made available for restoration where held
  3. Customer Data is retained then deleted per the Privacy Policy's retention schedule
  4. Outstanding accrued fees remain payable

8.4 Survival

Sections relating to intellectual property, limitation of liability, governing law, and dispute resolution survive termination of these Terms.

9. Warranties, Disclaimers, and Limitation of Liability

9.1 Pawa IT Warranties

Pawa IT warrants that it has the right to enter into these Terms, that the Services will perform materially in accordance with their documentation, and that it will maintain reasonable technical and organisational security measures appropriate to the data processed.

9.2 Disclaimer

The Services are provided on an “as available” basis. Pawa IT does not warrant that signature deployment will be error-free, or that signatures will render identically across every email client the Customer's recipients use — rendering differences between email clients are outside Pawa IT's control.

9.3 Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages, and Pawa IT's total aggregate liability arising out of these Terms shall not exceed the total fees paid by the Customer in the twelve (12) months preceding the event giving rise to the claim.

9.4 Exceptions: Nothing in these Terms limits either party's liability for death or personal injury caused by negligence, fraud, wilful misconduct or gross negligence, breach of confidentiality, or any liability that cannot be limited under Kenyan law.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Disputes require good-faith negotiation between senior representatives of each party within 30 days of written notice. If unresolved, disputes are subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, unless otherwise agreed in a separately executed agreement.

11. Amendments to These Terms

Pawa IT may update these Terms from time to time. For material changes, we will provide at least 30 days' written notice to the administrator account email on record before the revised Terms take effect. Continued use after that date constitutes acceptance.
